Virtual Assets – CSSF FAQ – Crypto Fund Setup as a Special Limited Partnership

The Commission de Surveillance du Secteur Financier (“CSSF”) has recently written a FAQ about Virtual Assets.

This short article regroups the CSSF position in relation to the “Undertakings for Collective Investment” by answering the following questions:

  1. May a UCITS invest in virtual assets?

  2. May an AIF invest in virtual assets?

  3. Do Luxembourg Investment Fund Managers need any authorisation for the management of virtual assets?

  4. Are there any specific considerations regarding the mitigation of the Money Laundering and Terrorist Financing risks?

The link to this detailed article can be viewed here.

It is important to mention that, in reference to the third bullet points above, the obtention of a prior authorisation from the CSSF for the strategy “Other-Other Fund-Virtual as well as a complete application file for registration as a virtual asset service provider (“VASP”) does not apply to registered AIFM (under 100 Mio AUM).

Hence the setup of a Special Limited Partnership as Alternative Investment Fund focus towards a crypto strategy remains the best solution for managers to start their activity quickly in Luxembourg. Creatrust can help you setup such entity for this purpose.
