Do you need a prospectus for the securities you issue via Luxembourg?

Which issuances are not deemed Public Issuance (under the prospectus law)?

As a rule, no public offer can be made on securities to the public without having a simplified prospectus been approved by the CSSF. Each Issuer should inform and obtain such an approval in advance.

However, there are some exceptions if the issuance concerns an offer of securities:

  • Qualified Investors; and/or
  • To less than 150 individuals or companies, other than Qualified Investors; and/or
  •  To investors who subscribe for a minimum amount of 100.000 euros per investor and by offer ; and/or
  • Which initial value are more than 100.000 euros ; and/or
  • With total issuance amount if less than 1.500.000 euros (every 12 month).
