Limited Partnerships in Luxembourg

 

Limited partnerships are established by way of a partnership agreement entered into between one or more unlimited partners and one or more limited partners. It is therefore possible to create a limited partnership with two partners only, provided there is at least one unlimited partner and one limited partner.

There is no statutory obligation for any of the partners to be based in Luxembourg. There is no upper limit on the number of limited or unlimited partners. A limited partnership may be established for a limited or unlimited duration.

The partnership agreement may be established by means of a notary’s deed or by private instrument. The limited partnership exists as from the execution of the partnership agreement.
